Sparta Bookkeeping & Tax Services

These Terms & Conditions (“Terms”) govern the provision of bookkeeping and tax preparation services (“Services”) by Sparta Bookkeeping & Tax Services (“Provider,” “we,” “us”) to each client (“Client,” “you”). By engaging our Services, signing our agreements, or paying for any subscription or project, you agree to these Terms.

1. Services Provided
Sparta Bookkeeping & Tax Services provides bookkeeping and tax preparation services, including but not limited to:

  • Monthly bookkeeping and reconciliations
  • Accounts payable and accounts receivable processing
  • Payroll processing support
  • Financial reporting and basic analysis
  • Individual and small business tax preparation
  • Related administrative and support services

    We do not provide audit, review, or other CPA-attest services.

 
2. Recurring Payment Authorization
The Client authorizes Sparta Bookkeeping & Tax Services to automatically charge the payment method submitted during onboarding for all subscription-based service fees.

Payments are billed monthly in advance on the billing date established at the start of service, unless otherwise agreed in writing. The Client agrees to keep a valid payment method on file at all times.

If a payment is declined, we may suspend Services until all outstanding balances are paid. Late fees may be assessed on payments more than seven (7) days past due, at our then-current late payment policy.

This authorization remains active until terminated under the Cancellation policy below.

 
3. Subscription Term and Cancellation Policy
Monthly subscription Services require a minimum commitment of three (3) consecutive billing cycles from the date of onboarding, unless a different minimum term is expressly stated in writing.

After the minimum term is satisfied, the Client may cancel ongoing Services by providing written notice at least thirty (30) days prior to the next billing cycle.

  • Fees already billed or prepaid are non-refundable.
  • Upon cancellation, all outstanding project fees, add-on services, or hourly work become immediately due and payable.

    We reserve the right to terminate Services at any time with written notice if the Client fails to pay, fails to cooperate, or misuses the Services.

 
4. Scope of Services and Additional Work
Fees and subscription tiers are based solely on the Services described in the selected package or written agreement.

Examples of work outside standard scope include, but are not limited to:

  • Catch-up or cleanup bookkeeping for prior periods
  • Reconstruction of incomplete records
  • Responses to IRS or state notices
  • Payroll corrections and historical adjustments
  • Custom reports, dashboards, or advisory projects
  • Multi-entity consolidations or complex structures

    Any work outside the agreed scope may be billed at our standard hourly rate or as a separate fixed-fee project, as communicated to the Client in advance.

If the Client’s transaction volume, complexity, or business activity increases materially, we may recommend or require moving to a higher subscription tier.

 
5. Client Responsibilities
The Client agrees to:

  • Provide accurate, complete, and timely financial information
  • Grant necessary access to banking, payroll, and related platforms
  • Respond to document and information requests within reasonable timeframes

    Delays in Client responses, missing documents, or restricted access do not pause subscription billing. Incomplete or delayed information may affect the quality, timeliness, or completeness of the Services.

The Client is solely responsible for the accuracy of information they provide. We are not responsible for errors resulting from inaccurate, incomplete, or delayed Client data.

 
6. Access to Systems and Data Upon Termination
If the Client’s bookkeeping file (such as QuickBooks Online) is maintained under our subscription, full editing access may end upon termination of Services. Read-only access for historical data may remain available, subject to the software provider’s policies.

It is the Client’s responsibility to download or export any desired records before or shortly after termination of Services.

 
7. Non-CPA Disclosure
Sparta Bookkeeping & Tax Services is not a CPA firm and does not provide audit, review, attestation, or certified financial statement services.

Bookkeeping and tax preparation Services are provided on a non-attest basis. The Client is responsible for reviewing and approving all returns, filings, and financial information before submission to any tax authority or third party.

 
8. No Guarantee of Outcomes
We will use commercially reasonable efforts and professional care in providing Services. However, we do not guarantee any specific financial outcome, tax refund amount, tax liability reduction, or legal result.

Compliance with tax laws and regulations depends on the accuracy and completeness of the information provided by the Client and is ultimately the Client’s responsibility.

 
9. Limitation of Liability
To the maximum extent permitted by law, Sparta Bookkeeping & Tax Services shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the Services.

Our total liability for any claim related to the Services shall not exceed the total amount of fees paid by the Client to us for the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits any liability that cannot be limited under applicable law.

 
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

Any dispute arising from these Terms or the Services shall be brought in the state or federal courts located in Florida, and the Client consents to the jurisdiction of those courts.

 
11. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page.

Your continued use of the Services after any update constitutes acceptance of the revised Terms.
